يحتوي الدفتر على فصلين:

-الفصل الأول: الشروط القانونية والمالية والتجارية.

-الفصل الثاني: الشروط والمواصفات الفنية.

الفصل الأول:

الشروط القانونية والمالية والتجارية

مادة1: موضوع الإعلان (داخلي – خارجي):

تعلن شركة بردى لصناعة البيرة عن مناقصة بالظرف المختوم لتوريد /500/ كغ +25 % من مادة الأنزيمات، وذلك وفق دفتر الشروط والمواصفات الفنية المبين في الفصل الثاني.

Bid bond: /S.P 65000/ for internal offers or equivalent in Euro for external offer.

Performance bond: 10% of the contract /award/ value.

Deadline of offer submission: End of the working hours, 27 / 6 /2010.

The date to open the submissions in 29/6/2010 at eleven o'clock.

Validity of offer: /90/ days following the closing date of offer submission.

The book contains two parts:

-         Part I: the legal, financial and commercial conditions.

-         Part II: The technical conditions and specifications.

Part I

Legal, financial & commercial conditions:

Article (1): Subject of the call (Internal – external):

Barada Co. for Beer Processing announces its call for offers under sealed envelopes to supply:

/500/ kg +25% of enzyme according to the book of technical conditions and specifications set forth in Part II

Article (2): Way of offer submission:

Offers will be submitted within two tightly sealed envelopes /A –B/ in which the contents and bidder’s address are indicated. These three envelopes are placed within a third one and red waxed. Bidder’s full address as well as address of the offered company, subject of the offer and closing date of offer submission are also indicated.

مادة 2: طريقة تقديم العروض:

تقدم العروض ضمن مغلفين أ – ب –مغلقة بإحكام ويدون على كل مغلف محتوياته وعنوان العارض ثم يوضع المغلفان ضمن مغلف ثالث كبير يغلف ويختم بالشمع الأحمر ثم يدون عليه عنوان العارض كاملاً وعنوان الشركة المقدم العرض إليها كما يدون عليه موضوع العرض وآخر موعد لتقديم العروض.

First envelope: including:

A-     A request from the bidder with a stamp on it which value is /1000/ S.P for internal to enter into the tender.

B-     The following documents which laid down in the article /11/ - law /51/2004.

المغلف الأول: يحتوي على:

أ‌-     طلب من العارض عليه طابع مالي بقيمة 1000 ل.س للعرض الداخلي للاشتراك بالمناقصة.

ب‌-   الأوراق الثبوتية المنصوص عليها في المادة /11/ من القانون – 51/2004- وهي:

1-     Declaration signed by bidder that he noted the book of conditions – Parts I & II and accepted their contents or provide his technical comments otherwise, if any.

2-     Bidder should not be forbidden entry into tenders or contracts with public bodies and his movable/ immovable assets should not be withheld.

3-     Duly certified copy of the registration certificate with the chamber of commerce and industry.

4-     Bidder should not be convicted with any crime or discreditable offense.

5-     Bidder should not be employed by any public body.

6-     Declaration by bidder that he maintains no relations with Israel and complies with the provisions of the Arab boycott against Israel and that he is not blacklisted.

7-     The elected domicile in Syria should be specified to serve all notices, excuses and notifications to be all deemed legally and judicially acceptable.

8-     Technical specification of  the material.

9-     Certifications of laboratory analysis.

10-                       Way of packing net/gross weights and capacity.

1-  تصريح موقع من العارض بأنه اطلع على دفتر الشروط بقسميه الأول والثاني ويقبل بما ورد فيهما.

2-   أن لا يكون محروماً من الدخول في المناقصات أو التعاقد مع الجهات العامة أو محجوزاً على أمواله المنقولة وغير المنقولة.

3-  نسخة عن شهادة تسجيله في غرفة الصناعة والتجارة مصدقة أصولاً.

4-  ألا يكون محكوماً بجناية أو جرم شائن.

5-  ألا يكون من العاملين في إحدى الجهات العامة.

6-  تصريح من العارض بأن ليس له علاقات بإسرائيل وأنه يلتزم بأحكام المقاطعة العربية لإسرائيل وأنه غير مدرج بالقائمة السوداء.

7-  أن يحدد عنوانه المختار في سورية لتوجيه جميع الإنذارات والإعذارات والتبليغات إليه وتعتبر كلها قانونية ومقبولة قضائياً.

8-  المواصفات الفنية للمادة 

9-  شهادة تحليل مادي .

10-        بيان طريقة التغليف والوزن الصافي و القائم والسعة.

Second envelope: containing financial offer, it includes:

. المغلف الثاني: يحتوي على العرض المالي ويتضمن:

1-       Prices: on the ground /storehouses/ of the company.

2-       Undertaking to submit the performance bond at /10%/ of the contract value.

3-       Acceptance of stamp duty at /8/ per thousand (0.8%) of the contract total value.

4-       Validity of offer: /60/ days following the closing date of offer submission.

5-       The elected domicile in Syria.

6-       Agent’s name in Syria and rate of the commission if any for external offer.

7-       Undertaking to submit international inspection and control certificate from a legally recognized party.

           ‌أ-  السعر واصل ارض /مستودعات/ الشركة

    ‌ب-  تعهد بتقديم كفالة نهائية بنسبة /10%/ من قيمة العقد.

    ‌ج-القبول برسم طابع العقد بنسبة /8/ بالألف من القيمة الإجمالية للعقد.

    ‌د- يرتبط العارض بعرضه لمدة /90/ تسعون يوماً من تاريخ يلي انتهاء تقديم العروض.

           ‌ه-  تحديد موطنه المختار في سورية.

    ‌و- يذكر اسم الوكيل في سورية ونسبة عمولة إن وجدت للعرض الخارجي.

    ‌ز- تعهد بتقديم شهادة مراقبة وفحص دولية من جهة مقبولة قانونياً للخارجي.

Conditions of offer acceptance in form:

شروط قبول العروض شكلاً:

For any offers to be initially accepted, the following conditions should be met:

يشترط لقبول العروض بشكل مبدئي ما يلي:

B-   Bidder should not forbidden entry into tenders or contracts with public bodies.

C-  Offers should be completely received and registered with the company’s reg. office prior the above-mentioned closing date of offer acceptance.

D-    Indication of the bidder’s full name and address, nationality, and place of domicile.

E-     Offers should be written in Arabic or English.

F-     Offers must answer all questions and points in Part I & II of this book of conditions.

G-    Offer must be submitted directly by the manufacturer or its authorized distributor if distribution is not direct or by its sole legal agent in Syria registered with the Ministry of Economy. No offer through intermediaries, mediators will be accepted nor will any offers sent without the bid bond unless it is relieved under the applicable laws and regulations in Syria.

     ‌أ- أن لا يكون العارض محروماً من الدخول في المناقصات أو التعاقد مع الجهات العامة.

    ‌ب-  أن يكون قد تم استلامه كاملاً وتسجيله في ديوان الشركة قبل انتهاء الموعد المحدد لقبول العروض المحددة أعلاه.

    ‌ج-أن يتضمن الاسم والعنوان الكامل للعارض وجنسيته ومكان إقامته.

    ‌د- أن يكون العرض مكتوباً باللغة العربية أو الانكليزية.

     ‌ه- أن يضمن الإجابة على جميع الأسئلة والنقاط الواردة في القسمين الأول والثاني من دفتر الشروط هذا.

    ‌و- أن يقدم العرض من الصانع مباشرة أو من موزعه المعتمد إذا لم يكن يوزع مباشرة أو من وكيله القانوني والوحيد في سورية المسجل في وزارة الاقتصاد ولا يقبل أي عرض مقدم بواسطة السماسرة أو الوسطاء أو المرسل بدون كفالة أولية ما لم يكن معفياً من تقديمها وفق القوانين والأنظمة النافذة في القطر.

Article (3): Bonds:

مادة 3: الكفالات:

Bid bond: Bidder shall submit the bid bond as specified in the introduction of this book, that by cash or pay note payable to the company’s cash or its running account, or by a bank guarantee issued by commissioner resident banks in the competent public authorities in the Syrian Arabic republic.

And a guarantee issued by the Syrian Commercial Bank branch /6/ for external offer.

Performance bond: Winning bidder shall submit the performance bond at /10%/ of the contract total value within /15/ days as of awarding notification date of offer award and be paid as  the temporary Bid bond paid.

However, this bond will not be released yet the final reception,  when the company ensure the fair performance of the bidder and there are no penalties originate from him.

الكفالة الأولية: يقدم العارض كفالة أولية حسب ما هو مبين في مقدمة هذا الدفتر وذلك إما نقدا" بموجب مذكرة قبض يدفع في صندوق الشركة أو في حسابها المصرفي أو بموجب كفالة أو حوالة مصرفية أو شيك مصدق من المصارف المقيمة المعتمدة من الجهات العامة المختصة في الجمهورية العربية السورية وكفالة صادرة عن المصرف التجاري السوري فرع /6/ بالنسبة للخارجي   .

 الكفالة النهائية: يقدم العارض الفائز كفالة نهائية بنسبة /10%/ من قيمة العقد الإجمالي خلال خمسة عشر يوماً من تبليغه رسو العرض عليه وتدفع كما تدفع التأمينات الأولية المؤقتة ولا تحرر الكفالة إلا بعد الاستلام النهائي بعد أن تضمن الشركة حسن تنفيذ المتعهد لتعهده وعدم ترتب غرامات بحقه

Article (4): Validity of offer:

          ‌ز-  مادة 4: ارتباط العارض بعرضه:

Offer shall be valid for /90/ days following the closing date of offer submission and Bidder shall remain committed to the prices and technical conditions set forth in this book. In case bidder withdraws his offer, then this bond will be withheld and bidder may not protest it.

         ‌ح-يرتبط العارض بعرضه مدة /90/ تسعون يوماً من تاريخ يلي انتهاء تقديم العروض ويبقى العارض ملتزماً بالأسعار والشروط الفنية الواردة في هذا الدفتر وفي حال الانسحاب عن عرضه تحجز الكفالة ولا يحق له الاعتراض على ذلك.

Article (5):  Stamp duties and fees:

مادة5: الطوابع والرسوم:

The winning bidder shall bear the contract stamp duty at /8/ per thousand of the contract total value duly payable to the central treasury in addition to the announcement charges.

يتحمل العارض الفائز طابع عقد بنسبة /8/ بالألف من القيمة الإجمالية للعقد تسدد أصولاً إلى الخزينة المركزية إضافة إلى أجور الإعلان.

Article (6): Delay penalties:

مادة 6: غرامات التأخير:

In case the Contractor does not comply with the time schedule of the contract, contractor shall be subject to delay penalty at /0.001/ one per thousand of the contract total value against each day of delay provided, however, that this penalty should not exceed /20%/ of the contract total value in addition to any damages arising from such delay.

في حال عدم التزام المتعاقد بالفترة الزمنية المحددة بالعقد يغرم بغرامة التأخير بواقع واحد بالألف من قيمة العقد الإجمالية عن كل يوم تأخير على أن لا يتجاوز الغرامات /20%/ عشرون بالمائة من القيمة الإجمالية للعقد بالإضافة إلى العطل والضرر الناتج عن التأخير.

Article (7): Shipment and delivery:

مادة 7: الشحن والتسليم:

Reception on the ground /storehouses/ of the company.

التسليم ارض المستودعات الشركة .

Article (8): Settlement of Disputes:

In case any dispute arises between the parties, it shall be solved amicably.

If no settlement is reached, then Damascus courts as an administrative judgment organization shall be the competent jurisdiction to consider any dispute according to the applicable laws and regulations

مادة 8: حل الخلافات:

إذا نشأ خلاف بين الفريقين يتم حله ودياً وإذا لم يتم ذلك فمحاكم دمشق بهيئة قضاء إداري هي المختصة بحل الخلاف الناشئ وفقاً للقوانين والأنظمة النافذة.

Article (9):

Act # /51/ of 2004 as well as the book of general conditions issued under Decree No. /450/ of 2004, which will be the reference for anything otherwise not provided in this book.

مادة 9:

يعتبر القانون رقم /51/ لعام /2004/ وكذلك دفتر الشروط العامة الصادر بالمرسوم رقم /450/ لعام 2004 يعتبران هما المرجع و كل ما يرد عليه النص في هذا الدفتر.

Article (10):

Any bidder shall be deemed to have accepted all the terms and conditions of this text.

مادة 10:

 يعتبر العارض قد قبل بجميع البنود والشروط الواردة في هذا النص.
